15.1. Determination of Confidential Information. We possess and will continue to develop and acquire certain confidential information relating to the development and operation of ALL COUNTY® businesses. Confidential information is proprietary to us. Confidential information may be disclosed to you that may include, but is not limited to:

  • 15.1.1. Locations. Our location selection criteria;
  • 15.1.2. Business Practices. Our trade secrets, methods, formats, specifications, standards, systems, procedures, the Operations Manual, any other proprietary materials, and knowledge of and experience in developing and operating ALL COUNTY® businesses;
  • 15.1.3. Marketing and Advertising. Our marketing and advertising programs for ALL COUNTY® businesses and the sales and marketing techniques used;
  • 15.1.4. Materials and Supplies. Knowledge of our specifications for and suppliers of certain fixtures, furnishings, equipment, products, materials and supplies; and
  • 15.1.5. Reports and Records. Knowledge of the operating results and financial performance of ALL COUNTY® businesses other than your Business.

What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, franchisees may receive confidential information related to the operation of All County businesses. This information is considered proprietary to All County. Examples of confidential information include location selection criteria, trade secrets, methods, formats, specifications, standards, systems, and procedures. The Operations Manual and other proprietary materials also fall under confidential information.

All County franchisees may also receive confidential information related to marketing and advertising programs, sales and marketing techniques, specifications for certain fixtures, furnishings, equipment, products, materials, and supplies, as well as knowledge of suppliers. Furthermore, franchisees may gain access to operating results and financial performance data of other All County businesses, excluding their own.

As a franchisee, you are only allowed to use this confidential information to operate your All County business during the term of the agreement. Using or duplicating this information in any other business venture is considered an unfair method of competition and a violation of the franchise agreement. Franchisees must maintain the absolute confidentiality of this information both during and after the term of the agreement and implement safeguards to prevent unauthorized use or disclosure.
