- 23.3. Confidential Information. You agree that, upon termination, for any reason, or expiration of this Agreement, you will immediately cease to use any of our confidential information in any business or otherwise and return to us all copies of the Operations Manual and any other confidential materials, including, without limitation, computer software and any mechanisms (electronic key) used to access the software, that we have allowed you to use.

What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, upon termination or expiration of the franchise agreement, franchisees must immediately cease using any of All County's confidential information in any business or otherwise. This includes returning all copies of the Operations Manual and any other confidential materials. The confidential materials also include computer software and any electronic keys used to access the software that All County allowed the franchisee to use.
This provision is standard in franchising, as franchisors need to protect their proprietary information and systems. The definition of confidential information is broad, covering various aspects of the All County business, such as location selection criteria, business practices, marketing and advertising programs, knowledge of suppliers, and operating results of other All County businesses.
For a prospective All County franchisee, this means that after the franchise agreement ends, they cannot use any of the knowledge or materials they gained during the franchise term to operate a similar business, or for any other purpose. This includes the physical return of manuals and software, as well as ceasing to use any of the confidential knowledge in a new venture. Failure to comply with this provision could result in legal action from All County to protect its confidential information.
