What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, All County retains exclusive rights to the goodwill associated with its marks. As a franchisee, you do not acquire any ownership interest or rights to the goodwill generated through the use of the All County marks. This means that any positive reputation or brand recognition developed through your business operations using the All County name and branding ultimately benefits All County itself.

This has significant implications for a franchisee, especially upon termination of the franchise agreement. The agreement explicitly states that you will not receive any compensation for goodwill at the termination of the agreement. This is a standard practice in franchising, where the brand and associated goodwill are considered the property of the franchisor.

Therefore, while franchisees contribute to building the brand's reputation through their local operations, the financial benefit of that goodwill accrues solely to All County. Franchisees are permitted to use the marks only as authorized by the franchise agreement, and this right ceases upon termination. This underscores the importance of understanding that franchisees are building an asset (brand goodwill) that they do not own and cannot monetize independently.
