Does Aira Fitness have the right to use Innovations developed by the franchisee?

According to Aira Fitness's 2025 Franchise Disclosure Document, Aira Fitness has the right to use innovations developed by the franchisee. The franchisee must disclose all ideas, plans, improvements, concepts, methods, and techniques related to the Aira Fitness Business's development, operation, marketing, advertising, and promotions. These are referred to as "Innovations".

Aira Fitness and its affiliates will own these Innovations and have the right to authorize other Aira Fitness Businesses to use them. This can include any aspect of the business conceived or developed by the franchisee, any owner, or the franchisee's employees during the term of the Franchise Agreement. The franchisee, any owner, or the franchisee's employees will not receive any compensation for these Innovations.

This clause does not change the franchisee's responsibility to follow the Aira Fitness System and the Manual. This means that while Aira Fitness can use the franchisee's ideas, the franchisee must still adhere to the established operational guidelines and standards set by Aira Fitness. This ensures uniformity and quality across all Aira Fitness locations, even as new ideas are integrated into the system.

For a prospective franchisee, this means that any successful ideas or improvements they develop for their Aira Fitness Business could be adopted by the entire franchise system without any direct financial benefit to them. While this may seem unfavorable, it also means that franchisees benefit from the collective innovations of the entire Aira Fitness network. Franchisees should consider this when deciding whether to invest in an Aira Fitness franchise.
