What This Means (2025 FDD)

According to Aira Fitness's 2025 Franchise Disclosure Document, Aira Fitness retains significant rights regarding the sale and distribution of items associated with its system. Specifically, Aira Fitness reserves the right to offer, sell, or distribute items like training videos, equipment, and athletic gear, which are associated with the Aira Fitness system or identified by its trademarks.

This right extends to any distribution channels or methods, including retail stores, mail order, wholesale, the internet, and any other existing or future form of electronic commerce. Aira Fitness is not obligated to compensate franchisees for these sales, even if they occur within a franchisee's designated area. For example, Aira Fitness currently offers online member enrollment through its website and Groupon.

This reservation of rights means that Aira Fitness franchisees may face competition from the franchisor's own sales efforts through various channels. While franchisees operate their physical locations, Aira Fitness can independently market and sell related products and services, potentially impacting a franchisee's revenue. Prospective franchisees should consider this when evaluating the potential profitability of an Aira Fitness franchise, as the franchisor's direct sales could affect their customer base and sales volume.

The FDD also states that there are no restrictions on Aira Fitness's rights to solicit or accept orders inside or outside of a franchisee's designated area, and Aira Fitness is not required to compensate the franchisee for doing so. This underscores the non-exclusive nature of the territory granted to franchisees and the potential for Aira Fitness to directly compete with its franchisees in various sales channels.
