You hereby acknowledge and agree that the ownership of all printed, audio and visual material and any other material whatsoever (including all Confidential Information) being part of the Aira Fitness Business or System (the "Work") belongs to us or our affiliates and any copyright in respect to the Work belongs to us.
In addition, you acknowledge that you have no right to manufacture any component of the Work or duplicate the Work and agree to purchase all components of (or rights of access to) the Work exclusively from us.
You have no right to claim any proprietary interest in any of the Work.
You must immediately notify us of any known infringement to the Work or to our copyright interest therein.
We have the right to control any litigation related to our copyrights or the Work.
You agree to assist us, as directed by us, in any claim or action against the infringer.

What This Means (2025 FDD)
According to the 2025 Aira Fitness Franchise Disclosure Document, Aira Fitness or its affiliates own the copyright to all printed, audio, and visual materials that are part of the Aira Fitness Business or System. These materials are referred to as "the Work." As a franchisee, you acknowledge this ownership and agree that you have no right to manufacture or duplicate any component of "the Work." Instead, you must purchase all components or access rights exclusively from Aira Fitness.
As a franchisee, you are prohibited from claiming any proprietary interest in "the Work" and must promptly notify Aira Fitness of any known copyright infringement. Aira Fitness retains the right to control any litigation related to its copyrights or "the Work," and you are obligated to assist Aira Fitness in any claim or action against an infringer, as directed by them.
This means that as an Aira Fitness franchisee, you are granted the right to use the copyrighted materials but do not own them. You are responsible for protecting Aira Fitness's copyright interests and must rely on Aira Fitness to take legal action against any infringers. This is a fairly standard arrangement in franchising, where the franchisor owns the intellectual property and grants franchisees a license to use it.
