You agree to fully and promptly disclose to us all ideas, plans, improvements, concepts, methods and techniques relating to the development or operation (including marketing, advertising and promotions) of the Aira Fitness Business or any similar aspect of the business conceived or developed by you, any Owner or your employees during the term of this Agreement ("Innovations").
We and our affiliates own and have the right to authorize other Aira Fitness Businesses to use any Innovations without any compensation to you, any Owner, or your employees.
Nothing in this Section modifies your obligations to comply with the System and the Manual.

According to Aira Fitness's 2025 Franchise Disclosure Document, 'Innovations' are defined as any ideas, plans, improvements, concepts, methods, and techniques related to the development, operation (including marketing, advertising, and promotions) of the Aira Fitness business or any similar aspect of the business. These innovations must be conceived or developed by the franchisee, any owner, or their employees during the term of the Franchise Agreement.
The agreement stipulates that franchisees must fully and promptly disclose any such Innovations to Aira Fitness. Once disclosed, Aira Fitness and its affiliates have the right to use these Innovations in any Aira Fitness business without providing any compensation to the franchisee, owner, or employees who developed them.
This clause ensures that Aira Fitness can leverage new ideas and improvements developed within its franchise network across the entire system. However, it also means that franchisees may not receive direct financial benefit or recognition for their Innovations, as Aira Fitness retains the right to implement them without compensation. Franchisees are still obligated to comply with the existing Aira Fitness system and manual, regardless of any Innovations they develop.
