What This Means (2025 FDD)
According to the 2025 Aira Fitness Franchise Disclosure Document, a proposed transferee might have to execute several agreements as part of the transfer process. These include all transfer documents that Aira Fitness requires, including a general release of all claims arising from the Franchise Agreement, the Aira Fitness business, or the business relationship between the parties. However, the release will not be inconsistent with any state law regulating franchising.
If the proposed transfer results in a change of control of the franchisee, the transferee must execute Aira Fitness's then-current form of franchise agreement. In this case, no initial franchise fee will be due. Additionally, each of the transferee's owners must execute Aira Fitness's then-current form of personal guaranty and undertaking.
Furthermore, any agreement used in connection with a transfer is subject to Aira Fitness's prior written approval, which will not be unreasonably withheld. The FDD specifies that you, each Owner, and each guarantor must execute all transfer documents that Aira Fitness requires and in the form Aira Fitness designates.
