ascertained or liquidated debts concerning the Franchise.
- C. You may not be in breach of this Agreement or any other agreement between the parties. Our consent to the transfer will not constitute a waiver of any claims we may have against you.
- D. The transferee will pay for and complete to our exclusive satisfaction the training programs we then require of new franchisees or otherwise show to our satisfaction sufficient ability to successfully operate the Franchise.
- E. You or the transferee will pay a Transfer Fee according to our then-current Transfer Fee Schedule.

What This Means (2024 FDD)
According to Afuri Ramen Dumpling's 2024 Franchise Disclosure Document, a transferee must complete the training programs that Afuri Ramen Dumpling requires of new franchisees. Alternatively, the transferee can demonstrate to Afuri Ramen Dumpling that they have sufficient ability to successfully operate the franchise.
Before the transfer can occur, the transferee must pay for the training programs. In addition to the training, the transferee must assume all of the transferor's franchise obligations and execute all documents that Afuri Ramen Dumpling requires of new franchisees. The transferee or transferor must also pay a $30,000 transfer fee to reimburse Afuri Ramen Dumpling for legal, accounting, credit check, and investigation expenses, as well as the mandatory training program for the transferee.
Furthermore, the transferee or transferor must refurbish, remodel, and replace the franchise premises, fixtures, equipment, delivery vehicles (if applicable), and signage to conform to Afuri Ramen Dumpling's current Operations Manual and System standards. These requirements ensure that the new franchisee is adequately prepared to uphold the standards and reputation of the Afuri Ramen Dumpling brand.
