What This Means (2024 FDD)
According to the 2024 Afuri Ramen Dumpling Franchise Disclosure Document, the franchisee operates as an independent contractor. As stated in Recital C, the franchisee independently owns and operates their franchise. While Afuri Ramen Dumpling establishes standards and recommendations, the franchisee generally determines how to achieve the desired outcomes. The franchisee is responsible for the day-to-day operation of their franchise.
This arrangement means that Afuri Ramen Dumpling franchisees have significant autonomy in running their businesses. While the franchisor provides the framework, brand, and system, the franchisee is responsible for the actual execution and management of the restaurant. This independence extends to many aspects of the business, including site selection, even though Afuri Ramen Dumpling provides site selection criteria.
The independent contractor relationship has important implications for liability. Because the franchisee is an independent business owner, they are generally responsible for their own actions and decisions. This would likely extend to the consequences of site selection, meaning that Afuri Ramen Dumpling would not be held liable for issues arising from a franchisee's choice of location. However, the specific terms of the franchise agreement would govern the exact allocation of responsibilities and liabilities between the franchisor and franchisee.
Prospective Afuri Ramen Dumpling franchisees should carefully review the franchise agreement and consult with legal counsel to fully understand their rights, responsibilities, and potential liabilities as independent business owners. Understanding the franchisor-franchisee relationship is crucial for making informed decisions and mitigating risks in operating an Afuri Ramen Dumpling franchise.
