What This Means (2024 FDD)
According to the 2024 Afuri Ramen Dumpling FDD, franchisees must exercise a high degree of care to protect confidential information, which includes safeguarding it against loss, theft, or inadvertent disclosure. This extends to the Afuri Ramen Dumpling intranet, as passwords would be considered part of maintaining confidentiality. Franchisees must use the same confidentiality protection practices they use for their own confidential information, but no less than a reasonable degree of care.
This obligation includes ensuring that employees and consultants who have access to confidential information, such as intranet passwords, are bound by confidentiality and non-use covenants. This means that franchisees must have agreements in place with their staff to prevent unauthorized disclosure or use of sensitive data accessible through the intranet.
If a franchisee or their employees/agents are served with a subpoena or other legal process that could compel the production of confidential information, they must immediately notify Afuri Ramen Dumpling. This allows Afuri Ramen Dumpling to take necessary actions to protect their interests. Franchisees must also execute any documents and perform any actions deemed necessary by Afuri Ramen Dumpling's counsel to protect their interests.
In practical terms, this means an Afuri Ramen Dumpling franchisee needs to establish robust security protocols for accessing and managing the intranet, including secure password management and employee training on data protection. They must also be prepared to act swiftly and in coordination with Afuri Ramen Dumpling if any legal challenges arise that could compromise confidential information.
