What This Means (2024 FDD)
According to the 2024 Afuri Ramen Dumpling FDD, franchisees are specifically prohibited from disclosing or using the franchisor's recipes in any manner outside the scope of their franchise agreement. This restriction applies whether the franchisee acts directly or through another entity or individual.
This means an Afuri Ramen Dumpling franchisee cannot share the recipes with other businesses, use them in a non-Afuri restaurant, or otherwise exploit the recipes for purposes other than operating their franchised Afuri Ramen Dumpling restaurant. This restriction is in place to protect the Afuri Ramen Dumpling system and maintain the brand's consistency and competitive advantage.
This restriction extends beyond just the franchisee; it also applies to the franchisee's owners, board of directors, employees, and agents, who are all bound by the same non-use covenant. This ensures that the confidential information, including the recipes, remains protected within the Afuri Ramen Dumpling system. Any authorized use of the confidential information or system requires prior written approval from Afuri Ramen Dumpling.
