What This Means (2024 FDD)
According to Afuri Ramen Dumpling's 2024 Franchise Disclosure Document, franchisees are required to maintain the confidentiality of Afuri Data. Afuri Data includes all data pertaining to the franchise and any data created or collected in connection with the operation of the franchise, including customer data and data uploaded to or downloaded from the franchisee's computer system. This data is the sole property of Afuri Franchise Inc., and they have the right to review and use it as they deem appropriate without compensating the franchisee.
The franchisee is granted a license to use Afuri Data during the term of the Franchise Agreement at no cost, but solely for the operation of their franchise. The franchisee must keep the Afuri Data secret and confidential and cannot make it available to any unauthorized person without prior written consent from Afuri Ramen Dumpling, and even then, only in the manner permitted by the franchisor.
This confidentiality requirement has significant implications for prospective franchisees. It means that all customer information, operational data, and any other data related to the franchise must be protected and cannot be shared without explicit permission. This obligation extends throughout the term of the agreement and emphasizes the franchisor's control over the data generated by the franchise. Franchisees need to ensure they have adequate systems and procedures in place to safeguard this data and comply with the franchisor's requirements.
