What This Means (2024 FDD)
According to the 2024 Afuri Ramen Dumpling FDD, franchisees are restricted from using Confidential Information or the System in any way not explicitly authorized by the franchisor. This restriction extends to the franchisee's owners, board of directors, employees, and agents, who must also adhere to the same non-use covenant. Any utilization of Confidential Information or the System by the franchisee or their associated parties requires prior written approval from Afuri Ramen Dumpling.
This means that franchisees cannot deviate from the established operational standards, recipes, marketing strategies, and other proprietary information without the franchisor's consent. This is to ensure brand consistency and protect the Afuri Ramen Dumpling system. Franchisees must also ensure that their staff and business partners are aware of and comply with these restrictions.
Furthermore, franchisees are obligated to return all originals and copies of materials containing Confidential Information upon request by Afuri Ramen Dumpling. This includes records, data, reports, documents, lists, plans, drawings, correspondence, memoranda, notes, and other materials in any form. Franchisees specifically agree not to disclose or use Afuri Ramen Dumpling's recipes in any manner other than in connection with their Afuri franchise, reinforcing the protection of the franchisor's intellectual property.
These stipulations are typical in franchising, as franchisors need to maintain uniformity and protect their brand's proprietary information. Prospective Afuri Ramen Dumpling franchisees should understand that they must operate strictly within the approved framework and cannot independently alter or share confidential business practices.
