    1. Franchise Premises and Franchise Territory. The Franchise Territory for each franchise will be designated by us before you open each relevant Franchise Premises. The Franchise Territory and your Franchise Premises must be in the United States of America, legally available pursuant to state and federal franchise and business opportunity disclosure and registration laws and pursuant to our contractual commitments (including those with our other franchisees) and in compliance with our franchise placement, market development and demographic criteria.

What This Means (2024 FDD)

According to Afuri Ramen Dumpling's 2024 Franchise Disclosure Document, the Franchise Territory and Franchise Premises must be located in the United States of America. The location must be legally available pursuant to state and federal franchise and business opportunity disclosure and registration laws. It must also comply with Afuri Ramen Dumpling's contractual commitments, including those with other franchisees, and adhere to their franchise placement, market development, and demographic criteria.

Before a franchisee can enter into a lease or purchase agreement for the Franchise Premises, they must submit the lease or purchase documents to Afuri Ramen Dumpling for approval. The lease documents must include the Franchise Premises Lease Agreement Rider attached in Exhibit 2 or include an assignment of the lease in a form approved by Afuri Ramen Dumpling, allowing them to assume the lease as provided in Exhibit 2. The franchisee is required to deliver a true copy of the lease and any additions or amendments to it promptly after they are executed.

The location for the Franchise Premises must meet Afuri Ramen Dumpling's minimum square footage and other standards outlined in their Operations Manual. The franchisee is responsible for reviewing and determining the appropriateness and desirability of the lease. Afuri Ramen Dumpling will have no liability regarding the selection or approval of a location or any lease for the Premises, nor any liability concerning site recommendations they make.

Afuri Ramen Dumpling also requires franchisees to use their designated architect to create the general project concept and schematics. While franchisees may use a local architect for detailed construction blueprints (subject to Afuri Ramen Dumpling's prior approval), these blueprints must comply with Afuri Ramen Dumpling's specifications and approval to assist with permitting and other services. This ensures uniformity and consistency across all Afuri Ramen Dumpling franchise locations.
