All rights in, and license of, the Customer Data granted under the Franchise Agreement are nonexclusive and, in addition to those rights described elsewhere in the Franchise Agreement, we and our affiliates retain all rights concerning the Customer Data not expressively granted in the Franchise Agreement, including, without limitation, the rights to: (1) terminate your

access to and right to use some or all of the Customer Data; (2) grant other licenses for use of all or any portion of the Customer Data, including any portion relevant to the Area of Responsibility; (3) develop systems and procedures to capture, store, manipulate, organize, sort and report the Customer Data and to require you to implement and utilize such systems and procedures; and (4) use the Customer Data in order to engage, directly or indirectly, at wholesale, retail or otherwise, in the distribution or sales of products and services, including, the Products.

What This Means (2025 FDD)

According to Aerus's 2025 Franchise Disclosure Document, Aerus retains significant control over customer data and can indeed terminate a franchisee's access to it. Aerus owns and maintains the database of customer information. While Aerus may grant franchisees limited, non-exclusive access to customer data pertinent to their area of responsibility, this access is contingent upon strict compliance with the Franchise Agreement, the Manuals, Policies and Procedures, and any specific guidelines Aerus imposes. Aerus may also charge a fee for this access. All rights and licenses to the Customer Data automatically terminate upon the expiration or termination of the Franchise Agreement, at which point the franchisee must return all materials containing the Customer Data to Aerus.

Aerus retains all rights concerning the Customer Data not expressly granted to the franchisee in the Franchise Agreement. This includes the right to terminate a franchisee's access to and right to use some or all of the Customer Data, grant other licenses for use of the Customer Data, develop systems to manage the data, and use the Customer Data for its own sales and marketing purposes. The franchisee cannot challenge Aerus's right, title, or privilege to the Customer Data and must take actions to protect the integrity of the Customer Data.

This arrangement has important implications for prospective Aerus franchisees. While franchisees can use the Customer Data for marketing, lead generation, sales, and recruiting purposes during the term of the agreement, their rights are limited and subject to Aerus's control. The franchisee's inability to challenge Aerus's ownership and the potential for Aerus to terminate access to the data at any time, or upon termination of the franchise agreement, highlights the importance of building strong customer relationships independently and understanding the limitations on using Aerus's Customer Data. Franchisees should also be aware of any fees associated with accessing and using the Customer Data.
