Must an Aerus franchisee implement and use all functions of FOAS in the operation of the Franchised Business?

According to Aerus's 2025 Franchise Disclosure Document, franchisees are required to implement and use all functions of the Aerus Franchise Office Automation System (FOAS) in their business operations. FOAS is described as a proprietary computer information and office automation system developed by Aerus and its affiliates. It includes various software programs and modules for customer relationship and lead management, financial administration, and inventory ordering and management.

As part of this requirement, franchisees must also adopt any new programs and modules that Aerus develops and installs from time to time. This includes the Franchise Accounting Systems and Tools program module (FAST) or any successor financial management program. Franchisees may also be required to pay a fee for these new programs or modules.

To support FOAS, franchisees must own and maintain computer hardware, facilities, and internet connections that meet Aerus's minimum performance specifications at their approved location. They must also allow Aerus or its affiliates to access their computer equipment for installing, updating, and supporting FOAS, and they must follow Aerus's instructions related to these activities. Additionally, franchisees are required to execute a Software License Agreement.
