How does the Area of Responsibility granted to an Aerus franchisee in Item 12 relate to the restrictions on sources of products and services outlined in Item 8?

Aerus Franchise · 2025 FDD

Answer from 2025 FDD Document

[Item 8: Restrictions on Sources of Products and Services]

You must operate your Franchised Business in strict conformance with our methods, standards, and specifications, which we will prescribe in the Franchise Agreement, the Manuals, and in other written documents. We may periodically modify our standards and specifications relating to the operation of an Aerus Business including, for example: standards and specifications for Products, Product components, spare parts and other inventory, supplies, signage, equipment; consignment

policies; sales and service policies; product warranties; and related standards, by written notice to you or through changes in the Manuals.

You must purchase or lease, install and maintain all of the Products, Product parts and components, fixtures, furnishings, equipment (including electronic cash register, or computer hardware and software and administration systems and satellite communications systems), décor items, signs, uniforms and related items that we prescribe in the Manuals or otherwise in writing, which will be made available to you prior to signing the Franchise Agreement. You must obtain our written consent prior to installing or permitting to be installed any fixtures, furnishings, equipment, decor items, signs, games, vending machines or other items not previously authorized by us.

[Item 12: Territory]

(6) sell any product or service that is not a Product, or (7) permit any Product to be sold from any physical location other than an Approved Location, by any Person other than your authorized representative or in a manner otherwise inconsistent with the System.

What This Means (2025 FDD)

According to the 2025 Aerus FDD, the Area of Responsibility granted to a franchisee is directly linked to restrictions on product and service sources. Item 12 outlines the franchisee's territory, while Item 8 details that franchisees must operate in strict accordance with Aerus's methods, standards, and specifications, including those for products, components, and supplies. This means that while a franchisee is responsible for sales and service within their designated area, they are simultaneously restricted to using only approved products and suppliers as mandated by Aerus.

Specifically, Item 8 states that franchisees must purchase or lease all prescribed products, parts, fixtures, furnishings, equipment, and signs. They must also obtain written consent from Aerus before installing any unauthorized items. This ensures uniformity and quality within the Aerus system. Item 12 reinforces this by stating that franchisees cannot sell any product or service that is not a designated 'Product' or permit products to be sold in a manner inconsistent with the Aerus system.

This interconnectedness means that an Aerus franchisee's ability to operate within their Area of Responsibility is contingent upon adhering to Aerus's approved sources for products and services. While franchisees are responsible for developing sales and providing service within their area, they do not have the autonomy to choose their own suppliers or offer non-approved products. This could potentially limit a franchisee's flexibility but also ensures brand consistency and quality control across all Aerus franchises.
