How does the Area of Responsibility granted to an Aerus franchisee (Item 12) relate to the business experience of its management (Item 2)?

Aerus Franchise · 2025 FDD

Answer from 2025 FDD Document

You are generally required to sell all Products within the Area or Responsibility, however, 10% of your Gross Sales in any calendar quarter may be attributable to sales made to persons or entities who reside outside of the Area of Responsibility.

We and our affiliates and existing franchisees, distributors and licensees operate existing businesses and systems, and may in the future establish and operate new businesses and systems, including Aerus Businesses, under the same and other assumed names, trade names and trademarks as the Marks, which businesses and systems may offer or sell products and services similar or identical to the Products and Beyond Products and may do so (or grant licenses or franchises for third-parties to do so) within any part of the Area of Responsibility (provided that we may not establish a physical location for the operation of an Aerus Business within your Protected Area).

If, you, your Operating Personnel and/or other personnel have actual current (or prior) sales experience, either through working directly with an existing Aerus Business or through comparable industry experience, and have demonstrated proficiency in customer service, lead generation and management, they may not be required to complete all phases of training.

What This Means (2025 FDD)

Based on the 2025 Aerus Franchise Disclosure Document, a franchisee's prior experience can affect their training requirements, but the document does not explicitly connect management's business experience (as detailed in Item 2, which is not provided) to the Area of Responsibility granted in Item 12. The Area of Responsibility defines the geographic area where the franchisee is authorized to operate their Aerus business.

According to Item 12, franchisees are generally required to sell all products within their Area of Responsibility; however, they can attribute up to 10% of their gross sales in any calendar quarter to sales made to individuals or entities residing outside of their designated area. This implies that while franchisees primarily focus on their assigned territory, they have some flexibility to conduct business beyond its borders. Aerus and its affiliates can also operate businesses and systems, including Aerus Businesses, that may offer similar products and services within any part of the Area of Responsibility, provided they do not establish a physical Aerus Business location within the franchisee's Protected Area.

Item 11 indicates that if a franchisee, their Operating Personnel, and/or other personnel have current or prior sales experience, either through working directly with an existing Aerus Business or through comparable industry experience, and have demonstrated proficiency in customer service, lead generation, and management, they may not be required to complete all phases of training. This suggests that prior experience can reduce the initial training burden. However, the FDD does not state that prior experience directly influences the size, location, or exclusivity of the Area of Responsibility granted to the franchisee.

To fully understand how management's experience might relate to the Area of Responsibility, a prospective franchisee should ask Aerus about any internal policies or guidelines that consider a franchisee's background when determining territory size or exclusivity. Specifically, they should inquire whether prior experience in sales, management, or a related industry could lead to a more favorable Area of Responsibility or other advantages.
