What This Means (2023 FDD)
According to Advanced Mobile Iv And Amiv's 2023 Franchise Disclosure Document, the non-compete agreement extends to the franchisee's agents. Specifically, the agreement ensures that the franchisee, along with their owners, shareholders, partners, directors, officers, employees, and agents, as well as members of their immediate families or households with access to the Operations Manual or Licensed Methods, will not participate in any competing business. This restriction applies for 720 days following the termination, expiration, or transfer of the franchise agreement.
This non-compete clause prevents these individuals and entities from engaging in businesses that offer intravenous therapies and hydration services or products, or any business offering similar products and services to those within the Advanced Mobile IV system. The restriction covers a broad scope of activities, including acting as an owner, shareholder, director, partner, officer, employee, consultant, franchisor, franchisee, distributor, advisor, or agent in a competing business.
The geographic scope of the non-compete agreement includes the Franchise Territory, within 25 miles of the Franchise Territory, within 25 miles of any market area where Advanced Mobile IV operates or has granted a franchise, and throughout the United States. This extensive coverage aims to protect Advanced Mobile IV's market presence and proprietary methods from being exploited by former franchisees and their associated parties.
For a prospective franchisee, this means that not only are they personally restricted from competing with Advanced Mobile Iv And Amiv after the franchise agreement ends, but their employees and agents are also bound by the same restrictions. This is a significant consideration, as it impacts who they can hire and how they manage their business to ensure compliance with the non-compete obligations. Franchisees should carefully review these terms and understand the implications for their future business activities and those of their associates.
