You will assure that you and all your agents, employees, consultants, partners, owners, members, officers, directors, and shareholders and other persons in your control, to whom any information is communicated, will keep, preserve, and protect all confidential information. You will require as a condition of the employment of your employees and anyone else providing services to you that they maintain and protect Confidential Information, including the signing of a confidentiality agreement. You must follow our security procedures, which may include the execution of approved nondisclosure agreements, and Intranet and Internet usage agreements. You will be responsible to enforce these covenants and agreements by your employees. These covenants are for the benefit of us and the Advanced Mobile IV franchise system and are enforceable by us. If you become aware of any actual or threatened violations of these covenants by any of your employees and anyone else providing services to you, you will promptly and fully advise us in writing of all related facts known to you. You will cooperate with us in all ways we reasonably request to prevent or stop any violation. These confidentiality covenants benefit Advanced Mobile IV and its franchise system, making them enforceable by Advanced Mobile IV.
If a franchisee becomes aware of any potential violations of these confidentiality agreements by their employees or service providers, they must promptly notify Advanced Mobile IV in writing. The franchisee is obligated to cooperate with Advanced Mobile IV to prevent or stop any such violation, including allowing Advanced Mobile IV to initiate legal action in the franchisee's name, at the franchisee's expense, if Advanced Mobile IV deems it necessary.
