When 7 Brew reserves the right to take or withhold an action, on what basis may 7 Brew make its decision?
7_Brew Franchise · 2025 FDDAnswer from 2025 FDD Document
Whenever this Agreement reserves our right to take or withhold an action, or to grant or decline to grant you the right to take or omit an action, we may, except as this Agreement specifically provides, make our decision or exercise our rights based on information then available to us and our judgment of what is best for us, 7 BREW Store franchisees generally, or the Franchise System when we make our decision, whether or not we could have made other reasonable or even arguably preferable alternative decisions and whether or not our decision promotes our financial or other individual interest.

What This Means (2025 FDD)
According to 7 Brew's 2025 Franchise Disclosure Document, when 7 Brew reserves the right to take or withhold an action, the company may base its decision on the information available to them at the time and their judgment of what is best for 7 Brew itself, its franchisees generally, or the franchise system as a whole. This is subject to specific provisions outlined in the franchise agreement. This allows 7 Brew to make decisions that may benefit the broader network, even if those decisions might not be the most advantageous for an individual franchisee.
This clause also clarifies that 7 Brew's decisions do not have to be the most reasonable or preferable alternatives, nor do they have to avoid promoting 7 Brew's own financial interests. This broad discretion means that 7 Brew has significant leeway in how it manages the franchise system and interacts with its franchisees. Franchisees should be aware that 7 Brew's interests may not always align perfectly with their own, and the franchise agreement allows 7 Brew to prioritize its interests and the interests of the broader franchise network.
This type of clause is relatively common in franchise agreements, as it allows franchisors to adapt to changing market conditions and make decisions that they believe will benefit the overall system. However, it also places a significant amount of power in the hands of the franchisor, so prospective franchisees should carefully consider the implications before investing in a 7 Brew franchise. It would be prudent for a potential franchisee to seek legal counsel to fully understand the scope of this clause and its potential impact on their business.
