What This Means (2025 FDD)

Based on the 2025 Franchise Disclosure Document, the headings within the 7 Brew franchise agreement and related documents serve to organize and identify the purpose of each section. For example, Exhibit I outlines 'Franchisee Representations,' which confirms that the franchisee has not relied on unauthorized statements or promises. Similarly, Article 5 details 'Ownership of Specifications,' clarifying 7 Brew's proprietary rights to the unit specifications and trademarks. These headings help franchisees understand the content and intent of each part of the agreement.

The 'Franchisee Representations' document aims to ensure that prospective franchisees understand the terms of the franchise agreement and any related documents before signing. It confirms that franchisees have had the opportunity to seek advice from attorneys, accountants, and other advisors, and that they have investigated the 7 Brew system and the risks involved. By initialing each statement, the franchisee acknowledges their understanding and the accuracy of the information provided.

Furthermore, the headings clarify important legal and operational aspects of the franchise relationship. For instance, the section on 'Proprietary Rights' emphasizes that 7 Brew retains ownership of all specifications, trademarks, and intellectual property related to the 7 Brew Drive-Thru Coffee store. This prevents franchisees from using the Marks or Specifications outside the scope of the agreement or infringing on 7 Brew's intellectual property rights. The headings, therefore, act as guideposts, enabling franchisees to navigate the complexities of the franchise agreement and understand their rights and obligations.
