What This Means (2025 FDD)

According to 7 Brew's 2025 Franchise Disclosure Document, the Franchise Agreement can only be amended, supplemented, waived, or changed through a formal written document. Oral agreements or understandings are not sufficient to alter the terms of the agreement.

This requirement for written amendments is a standard practice in franchising. It ensures clarity and avoids disputes about the agreed-upon terms. The written document must be signed by the party against whom enforcement of the amendment, supplement, waiver, or modification is sought. This means that both 7 Brew and the franchisee must agree to and sign the written amendment for it to be valid.

The written amendment must specifically reference the original Franchise Agreement to ensure that all parties are aware of which agreement is being modified. This prevents confusion and ensures that the changes are properly documented and understood.

As a prospective franchisee, it is crucial to understand that any promises or representations made by 7 Brew that are not explicitly included in the Franchise Agreement or its written amendments are not legally binding. Therefore, it is important to ensure that all important terms and conditions are documented in writing and properly executed.
