Who owns the ideas, concepts, techniques or materials concerning the 360 Painting Business, whether or not protectable intellectual property and whether created by or for the franchisee or their employees?

All ideas, concepts, techniques or materials concerning your 360 Painting Business, whether or not protectable intellectual property and whether created by or for you or your owners or employees, must be promptly disclosed to us and will be deemed our sole and exclusive property and a part of the System that we may choose to adopt and/or disclose to other franchisees. Likewise, we will disclose to you concepts and developments of other franchisees that we make part of the System. You must also assist us in obtaining intellectual property rights in any concept or development if requested.

What This Means (2025 FDD)
According to the 2025 360 Painting FDD, all ideas, concepts, techniques, or materials related to the 360 Painting business, regardless of whether they can be protected by intellectual property laws, are the sole and exclusive property of the franchisor. This applies whether these creations come from the franchisee, their owners, or their employees. Franchisees are required to promptly disclose any such developments to 360 Painting. The franchisor has the discretion to adopt these ideas and share them with other franchisees as part of the 360 Painting system.
In return, 360 Painting will share concepts and developments from other franchisees that become part of the system with you. Franchisees are also obligated to assist 360 Painting in securing intellectual property rights for any concept or development if requested by the franchisor. This means that while franchisees contribute to the system's knowledge base, they do not retain ownership of those contributions.
This arrangement is typical in franchising, where maintaining brand consistency and control over the system is crucial. However, it's important for prospective franchisees to understand that any innovative ideas they develop for their 360 Painting business will become the property of the franchisor, without compensation.
