Is 1 800 Packouts obligated to negotiate agreements with insurance companies or other businesses for franchisees to provide products and services to National Accounts?

We may, but are not obligated to, negotiate and enter into agreements with insurance companies or other businesses with multiple locations for us and/or our franchisees to provide the products and services offered by the Franchised Businesses to such insurance companies or business or their customers in accordance with the terms of such agreements ("National Accounts"). National Accounts will be governed by provisions of our operations manuals relating to the NROP. We have sole discretion as to whether to designate a particular customer as a National Account, the terms and conditions of the National Account agreement, and the allocation of the National Account business among Franchised Businesses. We may designate any of your current or prospective customers as National Accounts without paying you any compensation. If we establish any National Accounts in Your Territory, you have the right to participate in our National Accounts program, which will allow you to service the National Account customers in Your Territory on our behalf. You must service National Account customers in accordance with the pricing and other terms that we have negotiated, which may be less than your standard pricing, and any rules that we have prescribed, including rules requiring response times of less than 24 hours. You must not enter into conflicting arrangements with National Accounts. If you decline to service any National Account or fail to satisfy the conditions, rules, and obligations of any National Account or upon a National Account's request, we, in our sole discretion, may remove you from the entire National Account program. You may terminate your participation in the National Account program at any time by giving us at least 30 days' prior written notice. If you terminate your participation in the National Account program or we remove you from the National Account program, we have the right to service and/or authorize others to service all National Account customers within Your Territory without any compensation to you, including National Account customers that you have previously been serving. If you are subsequently willing and able to provide service within Your Territory, we have no obligation to readmit you to the program or to transfer any National Account customer to you.

What This Means (2025 FDD)
According to 1 800 Packouts' 2025 Franchise Disclosure Document, 1 800 Packouts is not required to negotiate agreements with insurance companies or other businesses to secure National Accounts for franchisees. The FDD states that 1 800 Packouts "may, but are not obligated to" negotiate these agreements. This means that while 1 800 Packouts has the option to pursue these partnerships, franchisees cannot rely on the company to actively seek them out.
If 1 800 Packouts does secure National Accounts, they have sole discretion over which customers are designated as National Accounts, the terms of the agreements, and how the business is allocated among franchisees. 1 800 Packouts can even designate a franchisee's existing or potential customers as National Accounts without providing compensation to the franchisee.
Franchisees do have the right to participate in the National Accounts program if National Accounts are established in their territory, allowing them to service these customers on behalf of 1 800 Packouts. However, franchisees must adhere to the pricing and other terms negotiated by 1 800 Packouts, which may be less than their standard pricing, and comply with any rules prescribed by 1 800 Packouts, including potentially strict response times. Franchisees are also prohibited from entering into conflicting agreements with National Accounts.
If a franchisee declines to service a National Account, fails to meet the required conditions, rules, or obligations, or if a National Account requests it, 1 800 Packouts has the right to remove the franchisee from the National Account program. If a franchisee terminates their participation or is removed from the program, 1 800 Packouts can authorize others to service National Account customers within the franchisee's territory without compensating the franchisee, even if the franchisee had previously served those customers. 1 800 Packouts is under no obligation to readmit a franchisee to the program or transfer any National Account customer back to them, even if the franchisee later becomes willing and able to provide service.
