What This Means (2025 FDD)
According to the 2025 1-800-GOT-JUNK? Franchise Disclosure Document, a Guarantor is required to ensure the Franchisee fully performs all obligations under the Franchise Agreement. The Guarantor's obligations extend throughout the entire term of the Franchise Agreement, including any extensions or renewals, and continue until all terms, covenants, and conditions are completely fulfilled by the Franchisee or discharged by 1-800-GOT-JUNK?. This means the Guarantor is responsible for the Franchisee's compliance with the agreement's requirements, not just initially but throughout the relationship with the franchisor.
The agreement emphasizes that the Guarantor benefits from the Franchise Agreement, typically being a shareholder, director, officer, member, or partner of the Franchisee. This benefit is the rationale for their agreement to act as a Guarantor. The Guarantor also warrants that the facts contained in the recitals of the agreement are correct, reinforcing their commitment and understanding of the arrangement.
This requirement has significant implications for prospective franchisees. It means that someone with a vested interest in the franchisee's success must also take on a legal responsibility for the franchisee's performance. This could affect the franchisee's ability to obtain financing or secure the necessary guarantees, as it requires a personal commitment from a related party. Prospective franchisees should carefully consider who will act as the Guarantor and ensure that person fully understands the obligations and potential liabilities involved.
