What This Means (2025 FDD)

According to the 2025 1-800-GOT-JUNK? Franchise Disclosure Document, Section 2.1 of the franchise agreement outlines the franchisee's rights to operate within a specific territory, use the 1-800-GOT-JUNK? system, and utilize the franchisor's copyrighted materials. However, these rights are contingent upon the franchisee's full compliance with all terms and conditions outlined in the franchise agreement. This means that the franchisee's ability to operate and use 1-800-GOT-JUNK?'s intellectual property is directly tied to adhering to the agreement and the provisions of the Operations Manual.

Specifically, the grant of license is dependent on the franchisee remaining in full compliance with the terms and conditions of the agreement. Furthermore, 1-800-GOT-JUNK? will refrain from establishing or operating another franchise within the franchisee's territory as long as the franchisee adheres to the agreement. The territory is divided into subterritories, and the franchisee must pay an additional fee for each subterritory. The franchisee cannot begin offering services in a subterritory until the initial fee has been paid in full, unless they obtain prior written consent from 1-800-GOT-JUNK?.

Additionally, if the franchisee wishes to add more subterritories, 1-800-GOT-JUNK? may require them to enter into an amending agreement or the current franchise agreement. If the franchisee is unable to operate in one or more subterritories due to government regulations, 1-800-GOT-JUNK? may adjust the territory or subterritories, or terminate the agreement for the affected area. This highlights the importance of understanding all the terms and conditions of the agreement, as well as any potential regulatory limitations, before investing in a 1-800-GOT-JUNK? franchise.

In summary, the grant of license under Section 2.1 is not an unconditional right. It is subject to the franchisee's ongoing compliance with the franchise agreement, payment of required fees for subterritories, and adherence to operational guidelines. Prospective franchisees should carefully review the entire franchise agreement and operations manual to fully understand their obligations and the conditions under which their license can be maintained.
