What This Means (2025 FDD)

According to the 2025 FDD, the security interest created by 1-800-GOT-JUNK?'s General Security Agreement remains in effect even if the franchisee's (Debtor's) debt is reduced to zero or is repaid, and even if further advances are made from time to time. This is because the security interest is designed to be a general and continuing security interest.

This means that 1-800-GOT-JUNK? maintains a security interest in the franchisee's collateral even if the franchisee temporarily pays off their debt. The security interest is not extinguished by a temporary reduction in the outstanding balance. This protects 1-800-GOT-JUNK? in case the franchisee incurs further debt in the future.

For a prospective 1-800-GOT-JUNK? franchisee, this implies that the General Security Agreement creates a long-lasting encumbrance on their assets. Even if they manage to pay off their initial debt, the security interest remains in place, potentially affecting their ability to use those assets as collateral for other financing or to sell those assets freely. Franchisees should fully understand the implications of this continuing security interest and how it might affect their long-term financial flexibility.
