What This Means (2025 FDD)

Based on the 2025 Franchise Disclosure Document, 1-800-GOT-JUNK? grants franchisees the right to operate a business using its established system, which includes specific trademarks. The franchise agreement stipulates that franchisees must use the designated "Marks" and the "System" in accordance with the agreement and the operations manual. These Marks are listed in Schedule A of the agreement and may be updated by 1-800-GOT-JUNK? from time to time. The agreement emphasizes that all goodwill established through the use of these Marks benefits 1-800-GOT-JUNK?.

1-800-GOT-JUNK? retains control over the brand and how it is presented to the public. Franchisees are required to operate under the name "1-800-GOT-JUNK?" (or any other name the franchisor designates in writing) and must adhere to 1-800-GOT-JUNK?'s written directions, as outlined in the operations manual. This includes ensuring that the franchisee's name is clearly marked on all representations of the business, both documented and electronic, as well as on advertising materials, stationery, and business cards.

The franchise agreement includes a clause that any right, title, or interest the franchisee acquires in the Marks or the System is automatically assigned to 1-800-GOT-JUNK?. This ensures that the franchisor maintains complete ownership and control over its trademarks and system. The franchisee's use of the Marks and the System is strictly a licensed right, and any goodwill generated inures solely to the benefit of 1-800-GOT-JUNK?. This arrangement is typical in franchising, as it protects the brand's integrity and uniformity across all franchise locations.

While the FDD excerpts specify that franchisees must use the Marks and System as approved by 1-800-GOT-JUNK?, the documents do not explicitly address whether 1-800-GOT-JUNK? itself can offer services under different trademarks within a franchisee's territory. A prospective franchisee should seek clarification from 1-800-GOT-JUNK? regarding this matter to fully understand the potential competitive landscape and any possible impact on their franchised business.
