What This Means (2025 FDD)
According to the 2025 1-800-GOT-JUNK? Franchise Disclosure Document, the franchise agreement stipulates that franchisees must waive non-transferrable rights in favor of the franchisor. Specifically, the franchisee acknowledges that their use of the 1-800-GOT-JUNK? marks and system, including any goodwill established, benefits the franchisor exclusively.
To that end, the franchisee assigns and transfers all rights, titles, and interests they may have or acquire in the marks, the system, and related goodwill to 1-800-GOT-JUNK?. This includes a waiver of all non-transferrable rights, such as moral rights, associated with the marks or the system. If the assignment and transfer are not fully effective, the franchisee is obligated to hold these rights in trust for the sole benefit of 1-800-GOT-JUNK?, and must irrevocably and unconditionally assign and transfer them upon request.
This clause ensures that 1-800-GOT-JUNK? maintains complete control and ownership over its brand and system, preventing franchisees from claiming independent rights that could undermine the brand's uniformity and value. For a prospective franchisee, this means understanding that any goodwill or recognition they build through their 1-800-GOT-JUNK? franchise ultimately benefits the franchisor, and they cannot assert independent rights over the brand elements.
