What This Means (2025 FDD)
According to the 2025 1-800-GOT-JUNK? Franchise Disclosure Document, the Rhode Island addendum modifies the standard franchise agreement and disclosure document. Specifically, the addendum supersedes any part of the franchise agreement or disclosure document that is inconsistent with valid and enforceable Rhode Island state law. This supersedence is only effective as long as the state law remains in effect.
One key aspect of Rhode Island law that the addendum addresses is § 19-28.1-14 of the Rhode Island Franchise Investment Act. This section stipulates that any provision in a franchise agreement that restricts jurisdiction or venue to a forum outside of Rhode Island, or requires the application of laws from another state, is void if it contradicts the Act. The 1-800-GOT-JUNK? Disclosure Document and Franchise Agreement are therefore amended to comply with this requirement.
For a prospective 1-800-GOT-JUNK? franchisee in Rhode Island, this means that certain standard terms in the franchise agreement may not apply if they conflict with Rhode Island law. This ensures that franchisees are protected by local laws regarding jurisdiction and venue. It is important for franchisees to understand their rights under Rhode Island law and how the addendum modifies the standard franchise agreement to align with these rights.
