You must promptly tell us when you learn about unauthorized use of any of this proprietary information. We will take whatever action, if any, we deem appropriate and we have the exclusive right to control any litigation or administrative proceeding involving the proprietary information licensed to you. We have no obligation to defend you or to take any legal action against others with respect to any claim related to your use of our proprietary information, and we will not indemnify you for losses claimed by a third party concerning your use of this information.

What This Means (2025 FDD)
According to the 2025 1-800-GOT-JUNK? Franchise Disclosure Document, 1-800-GOT-JUNK? retains the exclusive right to control any litigation or administrative proceedings that involve the proprietary information licensed to its franchisees. This includes the confidential information contained in the Operations Manual and the CRM System, as well as operational materials like advertisements and customer-facing documents.
This means that if a legal dispute arises concerning the use of 1-800-GOT-JUNK?'s proprietary information, the franchisor, not the franchisee, has the sole authority to decide how to handle the litigation. The franchisee is obligated to promptly inform 1-800-GOT-JUNK? of any unauthorized use of this information, but the franchisor then determines the appropriate course of action.
However, 1-800-GOT-JUNK? has no obligation to defend the franchisee or take legal action against others regarding the franchisee's use of proprietary information. Additionally, 1-800-GOT-JUNK? will not indemnify franchisees for losses claimed by a third party concerning their use of this information. This arrangement places the responsibility and cost of defending against claims related to the use of proprietary information solely on the franchisee, even though 1-800-GOT-JUNK? controls the litigation.
